You can see the differences here: http://foxyproxy.mozdev.org/fpplus. But these will be constantly changing as both FoxyProxy and FoxyProxy Plus mature. Upgrading is as simple as buying a license for FoxyProxy Plus and installing into Firefox. If you already have FoxyProxy installed, you'll be asked to uninstall it first.
